Terms of Service

The Terms of Service Statement consists of principles intended to guide our relationship with users and those who interact with “FriendUp” which is a website owned and operated by  Globevision Media LLC.

1. Connecting and Friending Up

Friend Up connects you to other users based on the interests you provide, and the filter settings you set.   You have the ability to delete or "friend up" connections.   Also, you may "friend up" users you meet through the shared communications areas of your friends and connections. 

2. Ownership & Control of Information

When you select your interests, FriendUp will display to connections, friends, and potential friends the interests you share with them, along with any other information you make available to these users.  

You have the choice to decide what what additional information you wish to share, and with whom.  We provide privacy control settings to manage these choices. 

You own your personal information, share it with anyone you want and take it with you anywhere you desire.  This includes removing it from FriendUp.   (Please note, suggested interests become the property of FriendUp when they are made and cannot be removed). 

It is important to keep in mind, when you make information available to others, you lose an element of control.  So it is important to use common sense and wisdom with the information you make publicly available. 

3.  Information Flow 

You have the liberty to access all the information made available to you by others and have the tools that make it efficient, fast and easy to share and access this information. 

4.  Suggesting interests - 

We enable you to participate in helping us build the "Interest Map", by having an interest suggestion tool. 

To foster a comfortable environment for all our users, we do not allow sexually explicit interests to be mapped.  Also, we do not allow any inappropriate content, such as interests linked with hate and intolerance, illegality, etc.   We, in our sole discretion, determine what is appropriate and what gets added. 

When we approve suggested interests, we have to process them to ensure they are in the best possible area of our interest map.  We also have to ensure there are not duplicate or highly similar categories.   If so, we may merge the suggestion with another category, link it, or move it.  As a result - it may take time to process each suggestion.   In order to help minimize the time and resources this requires on our end, we ask that users add their suggestions in the most proper category / sub category.   

We may control who has access to this tool - and block access to those who improperly use it. 

5.  Social Assessment - 

It is our desire to create a friendly and comfortable environment for all users. We require that all users act as they would in any public venue. Those who fail to act in a decent manner, will have their accounts suspended or deleted. We, at our sole determination, will make this decision.

While we have implemented various internal controls to deal with issues of spam and inappropriate content - ultimately, proactive action among our users is also very critical in this endeavor.

We set flags by connections listings and profiles to flag accounts for spam and inappropriate content. Also, you can email support@friendup.com should you find a violation of our Terms and Conditions.

6.  Essential Service 

You should be able to use FriendUp to bond with others, create a presence and share information. 

Terms and Conditions Agreement

You must read, agree with and accept all of the Terms and Conditions contained in this User Agreement and the Privacy Policy before you may become a member of the Site. If you are a minor, your parent or guardian must read and accept the terms of this Agreement before you register. No Person may participate where doing so would be prohibited by any applicable law or regulation.

Welcome to FriendUp.com (‘FriendUp’) a website owned and operated by  Globevision Media LLC. FriendUp provides online services for who you should connect to subject to the following Terms of Use Agreement (‘Agreement’).  This Agreement is a legal agreement between you (‘person’ or ‘organization’) and FriendUp. By using the Site, you signify that you have read, understand, and agree to be bound by this Agreement.

We, at our sole discretion,  may modify these terms and conditions and will post a copy of the amended Agreement to the Site.  You are bound by any such updates or changes, and so you should periodically review the terms of use. If you cannot comply or do not agree with the Agreement as amended, you must cancel your membership to FriendUp and must stop using its services. You will be deemed to have accepted an amended Agreement if you use any of FriendUp services after amendments are posted on the Site.

Registration.

To use FriendUp, you may be required to register and provide information that may include a member or user name, a password and a valid email address (‘Account Information’).  You must provide accurate Account Information and update your Account Information when needed to keep it accurate.  Friend Up will use your Account Information in accordance with our Privacy Policy.  You consent, by providing FriendUp with your email address, to receiving notices about our services, and also notices required by the law.  You may not opt out of receiving emails notices.'

Information About Yourself.
When you sign up for Friend Up you provide us with your name, email, gender, birth date, and location.  After the registration process, we connect you with people who share interests with you, and who share your filter settings and preferences.  You will also be able to add a picture of yourself, as well as share additional photos as well.  In some cases we may ask for additional information for security reasons or to provide specific services to you. 

Account Confidentiality.
You agree that you will retain only one free account at a time and that you will not allow others to use your Account Information.  You are responsible for keeping you account confidential and secure.  You must notify us immediately if there is any unauthorized use of your password or account.  FriendUp will not be responsible for any loss or damage created by the unauthorized use of your user or member name, password or account.  You agree to indemnify and hold FriendUp harmless for any improper, unauthorized or illegal uses of your user or member name, password or account.

Registration and Account Security

By joining FriendUp you commit to the following:
  • Keeping your contact information up-to date and accurate.
  • Not sharing your password.
  • Not transfering your account (including any page you administer) to anyone without first getting our written permission.
  • Not providing any false personal information on FriendUp, or creating an account for anyone other than yourself without permission.
  • Not creating more than one personal profile.
  • Not using your personal profile for your own commercial gain (such as selling your status update to an advertiser).
  • Not using FriendUp if you are under 13.
  • Not using FriendUp if you are a convicted sex offender.

Protecting Other People's Rights

We respect other people's rights, and we require you to do the same.
  • Do not post content or take any action on FriendUp that violates someone else's rights or violates the law.
  • We reserve the right to remove any content or information you post on FriendUp if we believe that it violates our terms and conditions.
  • We will provide you with tools to assist you to protect your intellectual property rights. If your intellectual property rights or any other rights have been breached on our site, immediately contact us at the  following email address: support@friendup.com
  • We will disable your account if you infringe on other people's intellectual property rights.
  • You will not use our trademarks or copyrights or any confusingly comparable marks, without our written consent.
  • Do not post anyone's identification documents on FriendUp.

Account Terms.

As a FriendUp account holder you may post documents, comments, or other material to the Site (‘Content’).  FriendUp takes the security of your Content very seriously and we have put in place a variety of security measures. However, whether the Content is in private pages or public pages or is unpublished, FriendUp does not guarantee any confidentiality with regards to any Content. You will solely be responsible for the consequences of posting and publishing your Content. That is the case regardless of whether the Content in question constitutes text, graphics, video, audio files, computer software, or any other media. You affirm and warrant that you own or possess the necessary rights, licenses, permissions, and consents to use and authorize FriendUp to use all patent, trademark, copyright, or other propriety rights in or to any Content in the manner contemplated by this Agreement.  By making Content available, you represent and warrant:
  • The use of the Content will not infringe the proprietary rights of any third party, including but not limited to the copyright, patent, trademark or trade secret rights.
  • You have fully complied with any third-party licenses relating to the Content, and have done all things necessary to successfully pass through to end users any required terms.
  • You may not use FriendUp for any illegal or unauthorized purposes nor may you use this Site to violate any laws in your jurisdiction as well as the laws of the United States. You represent and warrant:
  • Your Content does not contain or install any viruses, worms, malware, Trojan horses or other harmful or destructive content.
  • Your Content is not spam, and does not contain unethical or unwanted commercial content designed to drive traffic to third party sites or boost the search engine rankings of third party sites, or to further unlawful acts (such as phishing) or mislead recipients as to the source of the material (such as spoofing).
  • Your Content is not defamatory, obscene or libelous, and does not violate the privacy or publicity rights of any third party.
A breach or violation of any of the Account Terms as determined at the sole discretion of FriendUp will result in an immediate termination of your services.

License

FriendUp grants you a limited, non-exclusive, non-transferable license to use FriendUp. FriendUp reserves all right, title and interest not expressly granted under this license to the fullest extent possible under all applicable laws. Any use of FriendUp not permitted under this agreement is strictly prohibited.

Account Cancellation.

We reserve the right to terminate your account at any time.  You also have the option of canceling your account at any time without penalty.  If you choose to cancel your account you are fully responsible for backing up the Content in your FriendUp account. Once the account is cancelled all your data will be deleted. You can cancel your account at any time by logging in to your Settings panel and choosing ‘cancel account’.

Safety

We try to keep FriendUp safe, but we cannot guarantee it. In order to increase your safety, we require you make the following commitments:
  • You will not send or otherwise post unauthorized commercial communications (such as spam) on FriendUp.
  • You will not collect users' content or information, or otherwise access FriendUp, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.
  • You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on FriendUp.
  • You will not upload viruses or other malicious code.
  • You will not solicit login information or access an account belonging to someone else.
  • You will not bully, intimidate, or harass any user.
  • You will not post content that: is hateful, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
  • You will not post any sexually explicit material. This includes, but is not limited to, photos you upload, the username you select, and any content you publicly post.
  • You will not develop or operate a third-party application containing alcohol-related or other mature content (including advertisements) without appropriate age-based restrictions.
  • You will not offer any contest, giveaway, or sweepstakes ("promotion") on FriendUp without our prior written consent. If we consent, to a  promotion you have proposed, you will  be held solely and fully responsibility for the promotion under all applicable laws".
  • You will not use FriendUp to do anything unlawful, misleading, malicious, or discriminatory.
  • You will not do anything that could disable, overburden, or impair the proper working of FriendUp, such as a denial of service attack.
  • You will not facilitate or encourage any violations of this Statement.

Intellectual Property Rights

  • FriendUp’s Intellectual Property Rights. You acknowledge that FriendUp owns all right, title and interest in and to the Site, including without limitation all intellectual property rights.  FriendUp intellectual property rights are protected by U.S. and international intellectual property laws. You agree that you will not copy, reproduce, alter, modify, or create derivative works from the Site, including but not limited to its visual design or CSS/HTML code, without the express written permission of FriendUp.
  • Your Intellectual Property Rights. FriendUp makes no claim to intellectual property rights over the materials you post to the Site.  You or a third party licensor retain all patent, trademark and copyright to any Content you post to the Site.  By posting Content on FriendUp, you grant FriendUp a worldwide, non-exclusive, royalty-free license to reproduce, publish and distribute your content on FriendUp for the purpose of displaying and distributing FriendUp services. FriendUp reserves the right to refuse to accept, post or display any Content at its sole discretion.

    • General Information

    • You will be responsible for providing the DSL, cable modem and any other hardware and software necessary to use FriendUp.
    • We reserve the right to modify or terminate the Site for any reason, without notice at any time.
    • We reserve the right to refuse service to anyone for any reason at any time.
    • Your Content (not including credit card information), may be transferred unencrypted and may be involved in transmissions over various networks; and may be subject to changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
    • Technical support is only provided to paying account holders and is only available via email.
    • Verbal or written abuse of any kind (including threats of abuse or retribution) of any FriendUp customer, FriendUp employee, member, or officer will result in immediate account termination.
    • The failure of FriendUp to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision.
    • If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should seek to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Agreement remain in full force and effect.
    • This Agreement will be governed by the  laws of Nevada, USA.  The exclusive jurisdiction for any claim, action or dispute with FriendUp or relating in any way to your use of the FriendUp Services will be in the state and federal courts of Nevada, USA and the venue for the adjudication or disposition of any such claim, action or dispute will be in Clark County, Nevada, USA.

    Disputes

    • You will resolve any claim, cause of action or dispute ("claim") you have with us arising out of or relating to this Statement or FriendUp exclusively in a state or federal court located in Clark County, Nevada, USA. The laws of the State of Nevada, USA will govern this Statement, as well as any claim that might arise between you and us, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Clark County, Nevada, USA for the purpose of litigating all such claims.
    • If anyone brings a claim against us related to your actions, content or information on FriendUp, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.

    Disclaimers

    FriendUp (including any software contained therein) and any upgrades and licensed content are licensed to you as is.  Any use of FriendUp will be at your own risk.  To the maximum extent permitted by applicable law, FriendUp, its suppliers and its licensors disclaim all warranties, either express or implied.  FriendUp, its suppliers or its licensors make no representations or guarantees that the FriendUp services will be free from loss, destruction, damage, corruption, attack, viruses, interference, hacking, or other security intrusion, and FriendUp disclaims any liability relating thereto. FriendUp, its suppliers or its licensors make no guarantees, representations, or warranties that use or results of the use of the FriendUp services will be accurate, reliable, current, uninterrupted or without errors.  FriendUp, without prior notice, may modify, suspend, or discontinue the FriendUp services or your use of them.  Whenever FriendUp elects to modify, suspend, or discontinue the FriendUp services, it will not be liable to you or any third party. You acknowledge that your submission of any information to FriendUp is at your own risk.  FriendUp, its suppliers or its licensors do not in any way assume any liability to you with regard to any loss or liability relating to such information. You understand that you may encounter offensive, indecent or other objectionable content when using FriendUp.  FriendUp, its suppliers or its licensors will not be liable to you for any such content. Some of the content, products, and services available at the Site may include materials that belong to third parties.  You acknowledge that FriendUp, its suppliers or its licensors assume no responsibility for such content, products or services.

    Limitation of Liability

    FriendUp, its suppliers or its licensors will be liable in no event to you for indirect, general, special, incidental, consequential, exemplary or other damages even if FriendUp, its suppliers or its licensors have been advised of the possibility of such damages.  No oral or written information given by FriendUp, its suppliers, its licensors or others will create a warranty and neither you nor any third party may rely on any such information or advice.  Some jurisdictions do not allow the exclusion of implied warranties or limitation or exclusion of liability for incidental or consequential damages, so the above exclusions and limitations may or may not apply to you. FriendUp’s entire liability and your exclusive remedy under this agreement will be limited to the greater of one dollar (US $1.00) or the total amount paid by you for the applicable FriendUp services at issue.

    Indemnity

    You will indemnify and hold FriendUp, its suppliers and its licensors harmless with respect to any suits or claims arising out of your breach of this Agreement, including, but not limited to, any infringement by you of the copyright or intellectual property rights of any third party; or your use of FriendUp’s services.

    YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT AND WILL BE BOUND BY ITS TERMS AND CONDITIONS. YOU ALSO ACKNOWLEDGE THAT THIS AGREEMENT REPRESENTS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND US AND THAT IT SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
